JOB DESCRIPTION
Primary Objectives
Lead and manage a deal team to execute entire advisory process from end-to-end including capital raising advisory and M&A.
Main responsibilities
1. Lead and manage a deal team to execute entire advisory process from end-to-end including capital raising advisory and M&A
• Develop relationships with a network of Corporations and Investor Funds, originate equity & debt capital markets advisory opportunities covering a wide range of products (such as equity/bond IPOs, Placements, Securities Repurchases, Underwritings, Distribution and M&A and Tender Offer Deals).
• Be responsible for Industrial Analyses, Business & Valuation Analyses, Advisory Mandate Pitches, winning Advisory Mandates, Due Diligence Reviews, Deal/ Product Structuring, preparing, and making Investment Offering proposals and documents, Regulatory Filings, Securities Sales & Distribution Strategy development, Deal Execution, Negotiations, Closing, Post-Closing completion and Continued Investor Relation Advisory.
• Continuously develop M&A advisory capabilities and execute M&A Advisory mandates to advise large corporations and investors in key strategic industries, wherein HSC has special business, operational or superior analytical expertise.
• Coordinate with relating Divisions/ departments to lead and coordinate the distribution of securities products to investor clients for the purpose of generating revenues for HSC.
• Bring Corporate Banking & HNW wealth management opportunities to HSC in coordination with HSC Private Client Division, Proprietary Investment & Treasury Divisions for the purpose of generating Treasury and Lending Revenues for HSC.
• Develop financial analysis and industry knowledge capabilities in assigned key industries including:
+ Real Estate development/Property Management/Industrial Park Development/Hospitality Investment and Management
+ Banking / Finance/ Insurance/ Leasing / Fintech
+ Education, Health Care and Consumers
+ Debt Capital Markets
+ Infrastructures/Logistics/Transportation/Energy/Climate Change
• Continuously analyze and monitor the Vietnam Economy, equity and debt securities markets, investment flows and IPO mandate flows to continuously understand and grasp the market conditions, the investment opportunities and the advisory needs of corporations and investors.
2. Be responsible for planning, building human resources and controlling the work of a team
• Be responsible for the management and development corporate finance capabilities including training, leading, coaching and controlling the quality of preparation of Investment Memorandum, Prospectus, Offering Circulars, IPOs and Private Placement Offerings, Market Analyses, Industry Analyses, Company Analyses, Financial Modelling & Analysis
JOB REQUIREMENTS
1. Education level
• Minimum Bachelor’s degree in Finance and Accounting, Economics, Business Administration, MBA or in Laws.
• Preferably with a Master’s degree in Finance, Economics or Business Administration.
• Must enroll to study, pass exams and achieve the Securities Brokerage or Analysis Licenses under the State Securities Commission regulations, within 18 months of start of employment at HSC CFD Division.
• CFA Charter Holders, or CPA/ACCA holders are preferable.
2. Knowledge & Experiences
• At least 10 years of experience in Investment Banking or Securities Brokerage or Research or Investment Management (Private Equity or Public Equity/Bond portfolio management) with minimum 5 years of experience in Vietnam market.
